Terms of Service

Understand the legal guidelines, agreements, and terms that govern your use of the Bexora platform.

These Terms of Service govern your access to and use of the Bexora platform and all associated services. Please read them carefully before creating an account or using any part of the platform.

Bexora is a product of Hawkish Group Ltd, registered in England and Wales under Company Registration Number (CRN): 11720811. info@hawkishgroup.com.

1. Introduction

Welcome to Bexora. Bexora is an AI-powered business operating ecosystem that enables founders, organisations and workforce communities to connect, operate, learn, grow and scale through one integrated platform, operated by the Hawkish Group ("we", "us", "our"). By accessing or using the Bexora platform, website, workspace tools, service packages, marketplace or any associated services (collectively, "the Platform"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including founders, business owners, team members, service providers and marketplace participants (collectively, "Users").

2. Definitions

  • "Platform": The Bexora website, workspace application, marketplace, AI Copilot, service packages, media tools and all related features and services.
  • "Account": A registered user account created to access the Platform.
  • "Workspace": A private, company-specific environment within the Platform for managing operations, teams, projects and service delivery.
  • "Service Packages": The one-off professional services offered by Bexora, including the Bexora Identity, Launch and Launch Plus packages.
  • "Marketplace": The Bexora provider marketplace enabling clients to find, book and manage vetted service providers.
  • "Provider": A verified service provider listed on the Bexora Marketplace.
  • "Client": A user who purchases a service package or books a provider through the Marketplace.
  • "Content": Any text, images, files, data or materials uploaded to or created within the Platform.
  • "Subscription Plan": A recurring paid plan providing access to the Platform's workspace features (Community, Starter, Business or White Label).

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding agreement.
  • Not be prohibited from using the Platform under any applicable law.
  • If registering on behalf of a business, have the authority to bind that business to these Terms.

4. Account Registration

To access most features of the Platform, you must create an account. When registering, you agree to:

  • Provide accurate, current and complete information.
  • Keep your account information up to date.
  • Keep your login credentials confidential and not share them with third parties.
  • Notify us immediately at info@hawkishgroup.com if you suspect unauthorised access to your account.

You are responsible for all activity that occurs under your account. Bexora is not liable for any loss or damage arising from your failure to maintain the security of your credentials.

5. Subscription Plans and Payments

5.1 Workspace Plans

5.2 Service Packages

Bexora Launch

Payable in full or over 4 months from £360/month.

Bexora Launch Plus

Payable in full or over 4 months from £416.50/month.

5.3 Billing and Renewal

  • Subscription plans are billed monthly or annually in advance.
  • Annual billing provides a 20% discount on the monthly rate.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • All prices are in pounds sterling (GBP) and are exclusive of VAT unless stated otherwise.
  • Bexora reserves the right to change pricing with 30 days' written notice to existing subscribers.

5.4 Payment Methods

We accept all major credit and debit cards. Payments are processed securely through our payment provider. By providing payment details, you authorise Bexora to charge the applicable fees to your chosen payment method.

5.5 Late Payment

Where payment is overdue, Bexora reserves the right to suspend or restrict access to the Platform until outstanding amounts are settled.

6. Cancellation and Refunds

6.1 Subscription Cancellation

You may cancel your subscription at any time through your account settings or by contacting info@hawkishgroup.com. Upon cancellation, you will retain access to the Platform until the end of your current billing period. No refunds are issued for unused portions of a prepaid subscription period.

6.2 Service Package Cancellation

For one-off service packages, cancellation requests must be submitted at least 48 hours before the agreed service start date. Cancellations within 48 hours of the scheduled start may be subject to a cancellation fee of up to 25% of the package price. Where work has already commenced, cancellation fees will reflect the value of work completed to the date of cancellation.

6.3 Refund Policy

Refunds may be issued at Bexora's sole discretion in the following circumstances:

  • The service was not delivered in accordance with the agreed scope.
  • A technical error on Bexora's part prevented service access.
  • An erroneous duplicate payment was charged.

To request a refund, contact info@hawkishgroup.com with your account details and reason for the request. Refunds are processed within 14 business days of approval.

7. Acceptable Use

By using the Platform, you agree not to:

  • Use the Platform for any unlawful, fraudulent or harmful purpose.
  • Upload, post or transmit any content that is defamatory, obscene, offensive, discriminatory or in violation of any law.
  • Attempt to gain unauthorised access to any part of the Platform or another user's account.
  • Use the Platform to send unsolicited communications (spam).
  • Reverse engineer, decompile or otherwise attempt to extract the source code of the Platform.
  • Use automated tools to scrape, harvest or collect data from the Platform without our prior written consent.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Upload malicious code, viruses or any material intended to interfere with the Platform's operation.

Bexora reserves the right to suspend or terminate any account found to be in violation of this acceptable use policy, without notice or refund.

8. Bexora Marketplace

8.1 Platform Role

Bexora operates the Marketplace as a platform connecting clients with independent service providers. Bexora is not a party to any contract entered into between a client and a provider through the Marketplace. Each provider operates independently and is responsible for the quality, delivery and legality of their services.

8.2 Provider Responsibilities

Providers listed on the Marketplace agree to:

  • Deliver services to the agreed scope, timeline and quality standard.
  • Maintain their own professional indemnity and relevant insurance.
  • Comply with all applicable laws and professional regulations.
  • Not misrepresent their qualifications, experience or portfolio.

8.3 Client Responsibilities

Clients using the Marketplace agree to:

  • Provide accurate and complete briefs and requirements to providers.
  • Respond to provider queries in a timely manner.
  • Complete sign-off and approval through the Bexora workspace as required.
  • Not engage providers outside the Platform to circumvent Marketplace fees.

8.4 Disputes

In the event of a dispute between a client and a provider, Bexora will endeavour to facilitate resolution but accepts no liability for the outcome. Bexora's Satisfaction Guarantee applies where a service was not delivered in accordance with the agreed scope. Contact info@hawkishgroup.com to raise a dispute.

9. Intellectual Property

9.1 Bexora IP

All intellectual property rights in the Platform, including its software, design, content, trademarks and branding, are owned by or licensed to Bexora and the Hawkish Group. Nothing in these Terms grants you any rights in our intellectual property other than the limited licence to use the Platform as set out in these Terms.

9.2 Your Content

You retain ownership of all content you upload to or create within the Platform. By uploading content to the Platform, you grant Bexora a non-exclusive, worldwide, royalty-free licence to store, process and display that content solely for the purpose of providing the Platform's services to you.

9.3 Service Deliverables

Upon full payment for a service package or marketplace booking, all intellectual property rights in the deliverables created for you transfer to you, unless otherwise agreed in writing. Bexora and its providers retain the right to reference completed work in their portfolios unless you request otherwise in writing.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the use of the Platform, and to use such information only for the purpose of receiving or providing services through the Platform.

This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is required to be disclosed by law or court order.

11. Disclaimers and Limitation of Liability

11.1 Platform Availability

Bexora endeavours to maintain platform availability at 99.9% monthly uptime. However, the Platform is provided "as is" and "as available". We do not guarantee uninterrupted, error-free access to the Platform and are not liable for any disruption, downtime or technical failure.

11.2 No Professional Advice

Nothing on the Platform constitutes legal, financial, accounting, tax or professional advice. Bexora is a platform provider, not a regulated financial or legal services firm. Any content generated through the AI Copilot or provided by service providers should be reviewed by appropriately qualified professionals before being relied upon.

11.3 Limitation of Liability

To the fullest extent permitted by applicable law, Bexora's total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform shall not exceed the greater of: (a) the total fees paid by you to Bexora in the three months preceding the claim; or (b) £100.

Bexora shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, data, business opportunity or goodwill, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend and hold harmless Bexora, the Hawkish Group, and their respective directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your content; or (d) your violation of any third-party rights.

13. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services, tools and platforms (such as Google Workspace, Microsoft 365, Slack, Stripe and others). Bexora is not responsible for the availability, accuracy or content of any third-party services. Your use of third-party services is governed by their own terms and privacy policies.

14. Termination

Bexora reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if:

  • You breach any provision of these Terms.
  • Your use of the Platform poses a risk to other users, the Platform, or Bexora.
  • We are required to do so by law.
  • You fail to pay amounts owed under these Terms.

Upon termination, your right to access the Platform ceases immediately. You may request an export of your workspace data within 30 days of termination, after which data may be deleted.

15. Changes to These Terms

Bexora reserves the right to update or amend these Terms at any time. Where changes are material, we will provide at least 30 days' notice via email or a prominent notice within the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
